Terms of Service

1. Acceptance of Terms

By creating an account, submitting an application, or using the NAYEN MUSIC platform in any way, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookie Policy.

If you do not agree with any part of these Terms, you must not use our services.

2. Eligibility

To participate in the NAYEN MUSIC creator program you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have a valid, active YouTube channel in good standing
• Be capable of entering into a legally binding agreement
• Have the right to receive payments in your country of residence
• Not be prohibited from using our services under applicable law

We reserve the right to accept or reject any application at our sole discretion without providing a reason.

3. The Creator Program

The NAYEN MUSIC Creator Program allows approved creators to use tracks from our licensed catalog in their YouTube Shorts videos. In exchange for featuring our music, creators receive 75% of the net revenue attributed to their videos through the YouTube Partner Program (or equivalent YouTube monetisation systems).

We retain 25% of the net revenue as our share for providing the music, platform, analytics tools, and payment administration.

4. Creator Obligations

As a creator in our network you agree to:

• Use only the track(s) assigned to you by NAYEN MUSIC in your YouTube Shorts
• Register all videos featuring our tracks in the NAYEN MUSIC dashboard within a reasonable time
• Maintain your YouTube channel in good standing and comply with YouTube's Terms of Service and Community Guidelines
• Provide accurate account and payment information and keep it up to date
• Notify us promptly if your YouTube channel is penalised, demonetised, or terminated
• Not attempt to artificially inflate views, watch time, or earnings through any means

5. Content Rules

Videos you create are your own. However, you must ensure that:

• The NAYEN MUSIC-assigned track is audible and present throughout the video (or for the duration we specify)
• Your video does not violate YouTube's policies, including those on hate speech, violence, misinformation, or adult content
• Your video does not infringe any third-party intellectual property rights
• Your video does not promote illegal activities or contain content that could expose NAYEN MUSIC to legal liability

We are not responsible for the content of your videos beyond the use of our assigned tracks. You remain solely responsible for the content you publish.

6. Revenue Share & Payments

Revenue Calculation

Earnings are calculated based on data reported to us by YouTube's monetisation systems. Revenue is typically collected and reconciled on a monthly basis, subject to YouTube's reporting schedule.

Payment Threshold & Schedule

Payments are processed once your balance reaches the minimum payout threshold specified in your dashboard. Payment schedules and available methods will be communicated through the platform and may be updated from time to time.

Accurate Information

You are responsible for providing correct payment details. NAYEN MUSIC is not responsible for payments lost due to incorrect information provided by you.

Taxes

You are solely responsible for any taxes, duties, or levies applicable to amounts you receive from NAYEN MUSIC in your jurisdiction. We may be required by law to withhold taxes in certain circumstances and will notify you if this applies.

Disputes

If you believe there is an error in your earnings, you must notify us in writing within 30 days of the relevant payment period. We will investigate and respond within a reasonable time.

7. Intellectual Property

Our Music

All tracks in the NAYEN MUSIC catalog are owned by or licensed to NAYEN MUSIC. By joining the program, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the assigned track(s) solely in YouTube Shorts created as part of this program, for the duration of your active membership.

This licence does not allow you to:

• Use our tracks outside of YouTube Shorts (e.g., other platforms, advertisements, sync licences)
• Share, redistribute, or sub-licence our tracks
• Use our tracks after your account is terminated or the licence is revoked

Your Content

You retain all rights to the video content you create. You grant NAYEN MUSIC a limited, royalty-free licence to reference, share, or promote your public videos on our channels and marketing materials for the purpose of promoting the program.

Trademarks

The NAYEN MUSIC name, logo, and related marks are our intellectual property. You may not use them without our prior written consent, except to identify yourself as a member of our network in a factual and non-misleading way.

8. Account Security

You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Enabling two-factor authentication (2FA), which we strongly recommend
• Notifying us immediately of any unauthorised access at nayenapp@gmail.com

We will not be liable for losses arising from unauthorised use of your account due to your failure to secure your credentials.

9. Prohibited Conduct

You must not:

• Use bots, scripts, or any automated means to inflate video metrics
• Purchase views, likes, or watch time through any third-party service
• Misrepresent your identity, channel ownership, or earnings data
• Attempt to reverse-engineer, decompile, or tamper with our platform
• Use our platform for any unlawful purpose
• Sell, transfer, or share your account with any other person
• Register the same YouTube video under multiple accounts
• Harass, abuse, or threaten NAYEN MUSIC staff or other creators

Violation of any of the above may result in immediate account suspension or termination and forfeiture of pending earnings.

10. Termination & Suspension

By You

You may close your account at any time by contacting us at nayenapp@gmail.com. Any verified pending earnings at the time of closure will be paid out according to our standard schedule.

By Us

We may suspend or terminate your account immediately, with or without prior notice, if:

• You breach any provision of these Terms
• We detect fraudulent, deceptive, or abusive activity
• Your YouTube channel is terminated or loses monetisation eligibility
• We discontinue the program or a part of it

Upon termination, your licence to use our tracks ends immediately. Earnings already verified at the time of termination for legitimate activity will be paid out; earnings from fraudulent activity will be forfeited.

11. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The platform will be uninterrupted or error-free
• Any specific level of earnings will be achieved
• YouTube's policies, API, or revenue systems will remain unchanged

Earnings depend on many factors outside our control, including YouTube's algorithm, monetisation policies, and market conditions. Past earnings of other creators are not a guarantee of your results.

12. Limitation of Liability

To the fullest extent permitted by applicable law, NAYEN MUSIC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the service
• Changes to YouTube's monetisation policies or revenue share terms
• Loss of earnings, data, or business opportunities
• Unauthorised access to your account

Our total aggregate liability to you shall not exceed the total amount paid to you by NAYEN MUSIC in the three months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless NAYEN MUSIC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your video content
• Your violation of any third party's rights
• Your violation of applicable law

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts in the relevant jurisdiction.

15. Changes to These Terms

We may update these Terms at any time. We will provide at least 14 days' notice before material changes take effect by emailing registered creators and/or displaying a notice in the dashboard. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
